Microsoft said in a regulatory filing that board member Emma Walmsley will not seek re-election at the company’s Dec. 8 annual shareholder meeting, a change that will affect the makeup of two key board committees.

In a Form 8-K filed Wednesday, Microsoft said Walmsley informed the company on Nov. 4 that she had decided not to stand for re-election. The company said she “will continue to serve as a director until the Annual Meeting” and added that the decision was not tied to any dispute with management.

“Her decision not to stand for re-election is not as a result of any disagreement with management on any matter relating to the Company’s operations, policies, or practices,” Microsoft said in the filing.

Microsoft’s 2026 proxy statement sets the annual meeting for Dec. 8. That filing also says Walmsley has served on Microsoft’s board since 2019.

Walmsley currently sits on Microsoft’s Compensation Committee and Governance and Nominating Committee, according to the proxy. Her departure from the board after the annual meeting will therefore change the composition of both committees, including the panel that helps oversee executive pay.

The filing did not say why Walmsley decided not to seek another term. It also did not mention HP Inc.

However, HP said in a Nov. 4 press release that its board had appointed Walmsley as chief executive officer, effective Jan. 4, 2027. “HP Inc. … today announced that its Board of Directors has unanimously appointed Emma Walmsley as Chief Executive Officer, effective January 4, 2027,” the company said.

Walmsley most recently served as CEO of GSK, the British drugmaker.

At Microsoft, her exit marks a governance change at one of the world’s largest technology companies. Because she serves on both the compensation and governance committees, the board will need to update those committee rosters after the Dec. 8 meeting.
