Wipro Acquires Mindsprint, Betting Big on Agribusiness Technology
On April 6, Wipro Ltd. announced the acquisition of Mindsprint Pte. Ltd., the IT and digital services arm of Singapore-based Olam Group, for $375 million in cash. Concurrently, Wipro signed an eight-year contract to run and modernize Olam’s technology and shared-services operations, with the deal expected to exceed $1 billion.
A Captive Carve-Out Model
The transaction involves Wipro Networks Pte. Ltd., a Wipro subsidiary, acquiring 100% of Mindsprint's shares from Olam Holdings Pte. Ltd. The deal is cash- and debt-free, with adjustments bringing the signing consideration to approximately $383 million. Olam expects to record a gain of about $310.5 million from the sale.
Alongside, Olam awarded Wipro an $800 million, eight-year managed-services contract, representing 55% to 60% of its yearly technology budget. The deal reflects a strategic approach common in IT—buying captive units and securing long-term revenue streams amid slower tech spending.
What Mindsprint Brings
Mindsprint, formed in 2021 from Olam’s internal IT services, employs over 3,200 people globally, primarily in India. It delivers enterprise applications, cybersecurity, AI tools, and proprietary platforms tailored for the food and agribusiness sector—Farmsprint for plantations, Procuresprint for procurement, Tradesprint for trading and risk management, among others.
In 2025, Mindsprint generated a net profit of 26 million Singapore dollars (~$19 million), with a book value of S$81.2 million, indicating a strong premium on net assets.
Strategic Moves by Olam
Olam has been simplifying and reshaping its business, planning to separate into three groups and monetize legacy and digital assets like Mindsprint. It is also selling its Olam Agri unit to Saudi Arabia’s SALIC, aiming to free cash and focus on core food and agribusiness activities.
Proceeds from the Mindsprint sale will reduce Olam’s debt and potentially fund special dividends, subject to approvals.
Wipro’s Strategic Expansion
