Commerce Bancshares to Acquire FineMark Holdings for $585 Million in Stock Deal

Commerce Bancshares, Inc., a regional bank headquartered in Kansas City, Missouri, announced on June 16, 2025, its agreement to acquire FineMark Holdings, Inc., a financial services company based in Florida. The all-stock transaction is valued at $585 million and is expected to close on January 1, 2026.

Under the terms of the deal, FineMark shareholders will receive 0.69 shares of Commerce Bancshares for each FineMark share they hold. This exchange ratio represents a 54.7% premium based on the closing prices prior to the announcement.

FineMark Holdings, established in 2007, operates 13 offices across Florida, Arizona, and South Carolina. As of March 31, 2025, the company managed $4 billion in assets and approximately $7.7 billion in trust and investment assets under administration.

Commerce Bancshares, founded in 1865, offers a diversified line of financial services, including business and personal banking, wealth management, and investments. As of March 31, 2025, the bank reported assets of $32.4 billion. It operates more than 275 branches and ATM locations across Missouri, Kansas, Illinois, Oklahoma, and Colorado.

John Kemper, CEO of Commerce Bancshares, highlighted the strategic benefits of the merger, stating, "Together, with over $36 billion in assets and over $82 billion in wealth assets under administration, we are poised to accelerate growth, expand our reach, and deliver even greater value."

The acquisition reflects ongoing consolidation in the U.S. banking sector, driven by rising technology and compliance costs. A more lenient regulatory environment under the Trump administration has also fueled prospects of bigger deals.

Financial advisory services for the transaction were provided by Keefe, Bruyette & Woods for Commerce Bancshares and Piper Sandler for FineMark Holdings.

This acquisition positions Commerce Bancshares for significant growth and expanded market presence in the southeastern United States.
